Private Credit (DL & Credit Opportunities) interview tips

I’ve got my final interview coming up at a UMM PC firm where I’m being asked to prepare an IC memo over the weekend.

As my activities will be split across DL (~70% of the time) and Credit Opportunities (~30%) I assume the case study to cover both topics. Anyone have any tips/examples for me to prep?

Tips on the Credit Opportunities case studies would be especially appreciated, as I have limited experience with such investment decisions!

For your final interview at an Upper Middle Market (UMM) Private Credit firm, focusing on Direct Lending (DL) and Credit Opportunities, preparing an Investment Committee (IC) memo is crucial. Based on the most helpful WSO content, here are some tips and examples to help you prepare effectively:

Direct Lending (DL) Case Study Preparation:

  • Understand the Business: Start with a thorough business overview, including its value proposition, competition, and stability across economic cycles. This foundational understanding is critical for both DL and Credit Opportunities.
  • Financial Analysis: Dive deep into the historical financials, forecasted financials, and cash flow/deleveraging profile. Highlight key observations that support your investment thesis.
  • Capital Structure and Terms: Propose a capital structure that aligns with the risk profile of the business. For DL, focus on senior secured positions, emphasizing stable returns and downside protection.

Credit Opportunities Case Study Preparation:

  • Market and Sector Analysis: Given that Credit Opportunities often involve higher risk-return profiles, conduct a detailed market and sector analysis to identify potential upside and risks.
  • Stress Testing and Scenario Analysis: More critical for Credit Opportunities, perform stress tests under various economic scenarios to evaluate the resilience of the investment. Include these analyses in your IC memo to demonstrate thorough due diligence.
  • Downside Protection: Discuss strategies for downside protection, such as covenants, collateral quality, and the sponsor's equity cushion. This is crucial for Credit Opportunities where the risk profile may be higher.

General Tips for IC Memo Preparation:

  • Executive Summary: Start with a concise executive summary that outlines your investment thesis, key risks, and recommendation. This allows the IC to grasp the essence of your proposal quickly.
  • Detailed Analysis: Provide a detailed analysis but ensure it's well-structured and easy to navigate. Use bullet points, charts, and tables to present data clearly.
  • Risk Assessment: Clearly articulate the risks involved and how they are mitigated. This is especially important for Credit Opportunities where the investment thesis may involve higher uncertainty.
  • Investment Rationale: For both DL and Credit Opportunities, clearly articulate why this investment makes sense for the firm. Discuss how it fits within the firm's portfolio strategy and risk appetite.

Additional Resources:

  • WSO Courses and Guides: Leverage WSO's courses and guides on Private Credit and Direct Lending for deeper insights and examples.
  • Networking: Reach out to professionals within the UMM PC space for insights and advice. Their real-world experiences can provide valuable perspectives that enrich your IC memo.

Remember, the goal of your IC memo is to demonstrate your ability to identify, analyze, and articulate a compelling investment opportunity. Showcasing your understanding of both Direct Lending and Credit Opportunities, backed by thorough analysis and clear communication, will position you strongly for your final interview. Good luck!
